1. Acceptance of Terms

By creating an account or using Print2Spec, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Print2Spec is an AI-powered application that transforms construction blueprints into bid specifications. The App provides:

AI-powered extraction of room layouts, dimensions, and architectural features from construction prints
Template matching with your standard building specifications
Smart comparison to identify differences from model specs
Generation of organized draft bid specifications
Export functionality to PDF and Word document formats
Project organization with version history

The App uses artificial intelligence models to process your construction documents and generate specifications. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration and Security

3.1 Account Creation

To use the App, you must:

Provide a valid email address
Be at least 18 years of age or the age of majority in your jurisdiction
Be a construction professional or otherwise authorized to access construction documents
Comply with all applicable laws and regulations

3.2 Account Security

You are responsible for:

Maintaining the security of your email account used for authentication
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach

Important: Never share your authentication credentials with others. Access to your account grants access to your construction projects and specifications.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the App for lawful purposes consistent with these Terms, including:

Processing construction blueprints and architectural drawings you own or have authorization to use
Generating bid specifications for construction projects
Organizing and managing your construction projects
Exporting and sharing specifications with contractors and subcontractors

4.2 Prohibited Activities

You agree NOT to:

Upload construction documents you do not own or have authorization to use
Use the App for any illegal, harmful, or fraudulent purpose
Attempt to gain unauthorized access to the App or its related systems
Transmit viruses, malware, or any other malicious code
Reverse engineer, decompile, or disassemble the App
Attempt to manipulate, exploit, or abuse the AI models
Use the App to create, distribute, or promote illegal content
Impersonate any person or entity or misrepresent your affiliation
Use automated scripts or bots to access the Service
Share generated specifications in violation of any confidentiality agreements

Violation Notice: Violation of these prohibitions may result in immediate termination of your account and potential legal action.

5. Content and Intellectual Property

5.1 Your Content

You retain all rights to the construction documents, blueprints, and specifications you input into the App (your "Content"). By using the App, you grant us a limited license to:

Process your Content to extract features and generate specifications
Temporarily store your Content as necessary for service delivery

As stated in our Privacy Policy, your projects are stored locally on your device and construction documents are not retained on our servers after processing.

5.2 AI-Generated Specifications

Important: AI-generated specifications are provided as drafts and require your professional review and verification. The App is designed to assist, not replace, professional judgment.

You are responsible for:

Reviewing and verifying all AI-extracted information before use
Confirming accuracy of dimensions, materials, and specifications
Making final decisions on vendor selections, material choices, and quality standards
Ensuring specifications meet local building codes and regulations

5.3 Our Intellectual Property

The App, including its design, code, features, AI models, and functionality, is owned by Print2Spec and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

6. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information. Key points include:

We only collect your email address for authentication
Projects and specifications are stored locally on your device
Construction documents are processed but not stored on our servers
Your data is not used for tracking or advertising

7. Disclaimers and Limitations of Liability

7.1 Service "As Is"

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Professional Advice

The App provides AI-generated specifications for general informational purposes only. It does not provide:

Professional engineering or architectural advice
Legal advice regarding building codes or regulations
Warranties regarding accuracy of extracted dimensions or features
Guarantees that specifications meet local code requirements

Always have qualified professionals review specifications before use in construction projects.

7.3 Accuracy of AI Extraction

The Builder Stays in Control: While AI handles extraction and formatting, you maintain full control and responsibility for the final specifications. Always verify AI interpretations of architectural symbols, dimensions, and features.

We do not guarantee:

The accuracy, completeness, or usefulness of extracted information
That the App will correctly interpret all architectural symbols and notations
That the App will be error-free or uninterrupted
That all features from your blueprints will be detected

7.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRINT2SPEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

Your use or inability to use the App
Errors or inaccuracies in AI-extracted specifications
Construction defects or issues arising from reliance on App-generated specifications
Any unauthorized access to or use of our servers
Any errors or omissions in any content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE LAST TWELVE MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless Print2Spec, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

Your access to or use of the App
Your violation of these Terms
Your use of AI-generated specifications in construction projects
Your violation of any third-party rights, including intellectual property rights
Any construction documents you submit through the App

9. Termination

9.1 Termination by You

You may stop using the App at any time and request deletion of your account by contacting us at support@print2spec.com.

9.2 Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice, including if:

You violate these Terms
Your use of the App poses a security risk
You engage in fraudulent or illegal activities
We are required to do so by law

9.3 Effect of Termination

Upon termination:

Your right to use the App will immediately cease
We may delete your account data from our servers
Local data on your device will remain until you delete the App
Sections of these Terms that should survive termination will remain in effect

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

Update the "Last Updated" date at the top of this page
Notify you through the App or via email
Give you an opportunity to review the changes

Your continued use of the App after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the App.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state where Print2Spec is incorporated, without regard to conflict of law principles.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the App shall be resolved through:

Informal Resolution: First, contact us at support@print2spec.com to attempt to resolve the dispute informally
Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association

You agree to waive your right to a jury trial and to participate in class actions.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Print2Spec regarding the App.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

12.5 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
